Terms and Conditions for EduBridge

Welcome to EduBridge, a product of ABNO Softwares International Limited, a company registered in Kenya. These Terms and Conditions ("Terms") govern your access to and use of the EduBridge platform ("Platform"). By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree, please do not use the Platform. 

1. Definitions 

• "User": Any individual or entity that accesses or uses the Platform, including students, trainers, and employers. 

• "Content": Any data, text, graphics, audio, video, or other information uploaded or submitted by Users to the Platform, including but not limited to portfolios, assessments, and feedback. 

• "Services": All services offered through the EduBridge Platform, including but not limited to portfolio creation, assessment tools, and sharing functionalities. 

2. Acceptance of Terms 

By using EduBridge, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific services. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. 

3. User Accounts 

• Eligibility: Users must be at least 13 years old. By creating an account, you confirm that you meet this eligibility requirement. If you are under this age, you may only use the Platform with the consent of a parent or guardian. 

• Account Security: Users are responsible for maintaining the confidentiality of their account credentials. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation. 

4. User Responsibilities 

• Content Ownership and Licensing: Users retain ownership of their Content but grant EduBridge a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and display the Content for the purpose of providing and promoting the Services. You represent and warrant that you have all necessary rights to the Content you submit. 

• Prohibited Conduct: Users agree not to: 

• Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. 

• Engage in any activity that disrupts the Platform or its services, including but not limited to introducing viruses, malware, or other harmful code. 

• Attempt to gain unauthorized access to any part of the Platform or any other accounts, computer systems, or networks connected to the Platform. 

5. User-Generated Content Policy 

Users are responsible for the content they submit and must adhere to community guidelines. We reserve the right to moderate, review, and remove any content that violates these Terms. Users acknowledge that content may be visible to other users and third parties and should not contain sensitive personal information. 

6. Intellectual Property 

• Ownership: All content, trademarks, and other intellectual property on the Platform are the property of ABNO Softwares International Limited or its licensors and are protected by applicable intellectual property laws. Users must not copy, reproduce, or distribute any content without prior written permission to ABNO Softwares International Limited. 

• User Content: Users retain all rights to their Content but must ensure that they have the necessary rights to share and distribute it on the Platform. Users agree to indemnify EduBridge against any claims arising from the violation of third-party rights related to User Content. 

7. Privacy Policy 

Your use of EduBridge is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy. It is important to review this Privacy Policy periodically as it may change. 

8. Data Protection 

• Compliance: We comply with the Data Protection Act of Kenya and other applicable data protection laws. Users have the right to access, correct, and delete their personal data as outlined in our Privacy Policy. 

• Data Processing: We will process personal data only as necessary to fulfill the purposes described in this Policy and in compliance with applicable laws. 

9. Termination 

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any conduct that we deem harmful to EduBridge or other Users. Termination may occur with or without prior notice. Upon termination, your access to the Platform will cease, and you will no longer be able to access your Content. 

10. Limitation of Liability 

To the fullest extent permitted by law, ABNO Softwares International Limited shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of or inability to use the Platform, including but not limited to loss of data, goodwill, or other intangible losses. This limitation applies even if we have been advised of the possibility of such damages. 

11. Indemnification 

You agree to indemnify, defend, and hold harmless ABNO Softwares International Limited and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity. 

12. Dispute Resolution 

Any disputes arising from or related to these Terms or your use of the Platform shall be resolved through arbitration in accordance with the laws of Kenya. You agree that any claims may be brought only in your individual capacity and not as a class action. 

13. Third-Party Links 

The EduBridge Platform may contain links to third-party websites, applications, or services that are not owned or controlled by ABNO Softwares International Limited. These links are provided for your convenience and do not constitute an endorsement or recommendation of the content, products, services, or practices of these third parties. 

13.1 User Responsibility 

• By accessing these third-party links, you acknowledge and agree that ABNO Softwares International Limited is not responsible for the availability, accuracy, reliability, or content of such websites or services. Any interactions or transactions you engage in with third-party websites are solely between you and the third party, and we shall not be liable for any damages or losses incurred as a result of such interactions. 

13.2 Content Disclaimer 

• The content on third-party sites may be subject to terms and conditions that differ from those of EduBridge. We do not endorse or assume any responsibility for any information, material, products, or services that may be obtained from these third-party sites. It is your responsibility to review and understand the terms and conditions and privacy policies of any third-party sites you visit. 

13.3 No Liability for Third-Party Links 

• ABNO Softwares International Limited does not guarantee the accuracy, completeness, or usefulness of any information provided on third-party sites. We shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from your access to or use of any third-party websites or services, including but not limited to loss of data, goodwill, or other intangible losses. 

13.4 Feedback and Reporting 

• If you encounter any issues with third-party links or services, or if you believe that any linked content is inappropriate or misleading, please notify us at info@abnosoftwares.com. While we are not obligated to take any action, we appreciate your feedback and will consider it in our ongoing efforts to improve the Platform. 

13.5 Caution Advised 

• We recommend that you exercise caution when visiting third-party websites. Ensure that you read their terms of service and privacy policies, as they may have different practices regarding the collection and use of personal information. 

14. Disclaimer of Warranties 

The Platform is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Platform will be error-free, secure, or available at all times. 

15. Force Majeure 

ABNO Softwares International Limited shall not be liable for any failure to perform its obligations under these Terms if such failure results from any cause beyond its reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation, acts of God, war, terrorism, or governmental action. 

16. Governing Law 

These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Kenya. 

17. Changes to Terms 

We may revise these Terms from time to time. We will notify Users of any significant changes by email or through a notice on the Platform. Your continued use of the Platform following any changes constitutes your acceptance of the revised Terms.
